Terms and Conditions of Supply of Wooden Flooring
1. Introduction These Terms and Conditions govern the supply of wooden flooring by ELYSIUM OAK REAL WOOD FLOORS TRADING - SOLE PROPRIETORSHIP L.L.C. ("the Supplier"). All sales are based on EXW (Ex Works) Warehouse 2E, Plot 737-0, Wasl Warehouses, Jebel Ali, Industrial Area 1st, Dubai dispatch center warehouse ("the Dispatch Center").
2. Definitions

Buyer: The individual or entity purchasing wooden flooring from the Supplier.

Goods: Wooden flooring supplied by the Supplier.

Dispatch Center: Warehouse 2E, Plot 737-0, Wasl Warehouses, Jebel Ali, Industrial Area 1st, Dubai.

EXW (Ex Works): The buyer assumes responsibility once the goods leave the Dispatch Center.
3. Ordering and Acceptance

All orders must be made in writing and confirmed by the Supplier.

Acceptance of an order is subject to the Supplier's discretion.

No amendments to an order are valid unless confirmed in writing by both parties.
4. Pricing and Payment
-
a) Export Clients: Prices quoted EXW Dispatch Center for export orders do not include taxes, duties, transportation costs, or any other miscellaneous costs. goods must be collected from us.

b) Mainland Clients within the United Arab Emirates: Prices quoted EXW Dispatch Center for orders do include taxes and duties but exclude transportation costs or any other miscellaneous costs.goods must be collected from us.

Payment terms are as agreed in the invoice or order confirmation.

Payment must be made in full before goods are dispatched, unless otherwise agreed in writing.
5. Delivery and Risk

The Supplier will notify the Buyer when the goods are ready for collection at the Dispatch Center.

The Buyer is responsible for arranging transportation and assumes all risks once the goods leave the Dispatch Center.

The Supplier is not liable for any loss or damage to the goods during transportation.

The Buyer must arrange their own transport and collection of goods. The Supplier does not offer this service under any circumstances.
6. Title and Ownership

Ownership of the goods transfers to the Buyer once payment is received in full.

The Supplier retains a security interest in the goods until payment is made.
7. Inspection and Acceptance of Goods

The Buyer must inspect the goods upon collection.

Any claims for defects or non-conformity must be made at the time of collection. Any after-inspections of said goods cannot be accepted or considered by the Supplier as once the goods have been handed over at the warehouse to the client and taken out of our commercial facilities, we are not able to determine the reasons for damages and/or issues as we will not be aware of what has been done to the goods.
8. Warranties and Liability

The Supplier warrants that the goods supplied are of satisfactory quality and fit for the purpose described.

The Supplier is not liable for any indirect, incidental, or consequential damages.
9. Force Majeure

The Supplier is not liable for any delay or failure to fulfill its obligations due to circumstances beyond its control, including but not limited to natural disasters, war, strikes, government actions, machine breakdowns, or delays beyond our control in receiving raw materials required to complete orders due to customs clearance delays, etc.
10. Governing Law and Dispute Resolution

These terms and conditions are governed by the laws of the United Arab Emirates.

Any disputes arising from these terms will be resolved through arbitration in Dubai, in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
11. Miscellaneous

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in effect.

These terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
By placing an order, the Buyer acknowledges and agrees to these Terms and Conditions of Supply.
Coating time frame on average for traditional straight plank 14 x 190 x 1900
Procedure for production slots.:

It's important to highlight to the client that they should place their order promptly to secure the necessary production slot. This will ensure that the handover of goods aligns seamlessly with their project timelines, avoiding any delays. Proper planning and timely action are crucial for maintaining the project's schedule. Start date of production slots can only be confimed upon time of invoice confirmation, customer should keep in mind Elysium will already be entertaining other confirmed client orders so can only offer next available slot once invoice is confirmed.
Procedure for finishing products.:

To ensure the coating materials are prepared and ready for shipment, please note the following: Coating materials preparation time frame: 7 to 15 calendar days. (This time frame allows for air freight arrangements and/or any general preparation time needed for the coating goods). Placing your order in a timely manner is crucial to securing a production slot and ensuring that the materials are delivered according to your project timelines. Proper planning and coordination will help avoid any delays and ensure a smooth handover of goods.
Procedure of the coating line:

To provide a clear understanding of the coating process, here are the details: Coating time: 6 hours + Cleaning and preparation work: 2 hours = Coating line working day: 8 hours. This schedule ensures that each working day includes sufficient time for both coating and necessary cleaning and preparation tasks. Timely order placement is essential to align with this production schedule.
Disclaimer / Curing Coating Drying Considerations

As per the above calculations of coating output, the consideration of curing (dry) time should be factored in as this is a factor-based unique order depending on the client-approved finish of the coating sequence. For example:

Un1co: An all-in-one coat oil finish, meaning that once the goods have been coated, they will undergo the curing process overnight and be ready for packaging the following day.

Magic Hardwax Oil: A two-coat process requiring the complete materials base coating to be completed and fully cured before commencing the final top coating treatment.
-
Aqua Stain + Magic Hardwax Oil + Titan Hardwax Oil: A three-coat process necessitating the complete materials base coating to be completed and fully cured before beginning the second coating treatment. The same sequence will follow for the third and final top coating treatment.

The curing process is performed overnight due to downtime in the factory, allowing the production team to start in the morning with cured, ready materials for production.

The client should request a production work schedule to ensure there are no misinterpretations and/or miscommunications for the required time lines
